Introduction

This document constitutes a legally binding agreement between you, the user (hereinafter referred to as “user” or “you”), and OneGrasp (including its subsidiaries and international affiliates, hereafter referred to as “OneGrasp,” “us,” “we,” “our,” or “the Company”). It outlines the terms governing your use of the Platform, as defined below. The website www.OneGrasp.com and its associated mobile applications (collectively referred to as the “Platform”) provide information, services, and materials operated by OneGrasp. The Company offers curated online higher education programs, industry-relevant certification courses, and career assistance services (“Programs”).

Please review our Terms of Use, Privacy Policy, and any other policies available on the Platform (collectively referred to as the “Terms”), which govern your use of the Platform and Programs. By accepting these Terms in any manner or by accessing the website, you consent to abide by and be bound by these Terms. If you do not agree to these Terms, you are not authorized to access or use the Programs, and any subsequent usage shall be considered unauthorized.

Each Program may have its own set of terms regarding refunds, deferrals, payments, etc., which will govern those specific Programs. Additionally, corporate clients may have executed separate written agreements with us that, in the event of any conflict, will take precedence over these Terms to the extent of the conflicting provisions.

These Terms apply to OneGrasp-hosted mobile applications, WhatsApp groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications, and other social media forums hosted by OneGrasp, and are considered part of the ‘Platform’ by reference. You acknowledge that certain parts of the Platform may be provided by third-party service providers, and you agree to comply with their respective terms and conditions. OneGrasp is not liable for any service disruptions caused by such third-party providers.

While you may bookmark specific sections of the Platform to bypass these Terms, your continued use of the Platform still binds you to these Terms.

We reserve the right to modify these Terms at any time without prior notice. It is advisable to review this page regularly. Your continued use of the Platform and Programs following any changes will signify your acceptance of those changes. If you do not agree with any modifications to these Terms, you should refrain from using the Platform or Programs.

OneGrasp makes no representations regarding the Platform’s availability or legality in all geographic areas. Accessing the Platform from territories where it, or any content or functionality within it, is illegal is expressly prohibited. Should you choose to access the Platform, you acknowledge that you do so at your own initiative and risk, and you are solely responsible for compliance with all applicable laws.

User Accounts, User Registration, and Delivery of Services

To engage in most activities on the Platform and apply for a Program, you must register for a personal account (“User Account”). This involves a two-step verification process to confirm your login credentials, which includes providing your phone number to receive a one-time password, as well as creating a unique email address and password.

Upon payment of the Program fees—either in full or partially, depending on the Program—OneGrasp will provide the terms of use and grant you access to the Program. An invoice will be issued alongside your email confirmation or within two (2) months thereafter, serving as proof of delivery upon successful payment.

In exceptional circumstances, if OneGrasp grants you access to a Program pending payment and fails to receive the required payments within the specified time frame, OneGrasp reserves the right to withdraw your access to the Program at its discretion, without prior notice.

You agree to never disclose or share your User Account access with any third party for any reason. Additionally, you commit to creating, using, and accessing only one User Account, refraining from using any account other than your own.

During the setup of your User Account, you may be prompted to provide additional information, including but not limited to your name and email address. This information may be necessary to verify your identity. You acknowledge that all information provided by you is accurate, current, and complete, and you will maintain and update this information as necessary. Should any information you provide be untrue, inaccurate, outdated, or incomplete, we reserve the right to terminate your use of the Platform and your enrollment in a Program, as applicable.

In conjunction with your use of the Platform or participation in the Programs, we may collect information pertaining to you and your performance. Some of this information may include Personally Identifiable Information. We may utilize, maintain, and store this data to deliver certain services to you now and in the future, and may share this information with our Educational Partners or third parties for service provision or marketing purposes. For instance, as detailed in our Privacy Policy, we may share certain materials or information, including your grades or scores in our classes, with third parties. Regardless of your registration under Do Not Disturb (DND), Do Not Contact (DNC), or National Customer Preference Registry (NCPR) services, you authorize us to contact you or facilitate contact through a third party for the aforementioned purposes for up to 365 days following your registration.

Access to the Programs is limited to attendees or students who have been specifically granted access by OneGrasp.

By registering for your User Account, you agree to the following:

• You will register for the Program only once and will not establish multiple User Accounts.
• You will adhere to these Terms and any Program-specific terms.

Additional requirements apply to Students. By registering as a Student, you further agree to complete all relevant assignments associated with the Platform or Programs in which you have enrolled.

Payment Terms and Refund Policy

Unless expressly agreed otherwise in writing by OneGrasp, full payment for participation in a program is required at the time of registration. For programs that include a trial period, access to this trial will only be granted after full payment has been made. During the trial window, students may request a refund, which OneGrasp may grant at its discretion, in accordance with the applicable refund policy for the specific program. Any refunds will be subject to deductions for administrative and marketing expenses, as determined by OneGrasp from time to time. Once the trial period concludes, no refunds will be permitted for any reason. For programs without a trial window or preparatory session, refunds will be processed according to the respective program’s refund policy.

It is the sole responsibility of the user enrolling in a program to verify the accuracy and assess the suitability of the selected program. Enrollment in a program is non-transferable.

To make a payment for any program or to purchase services or products offered by OneGrasp through the platform, you must have internet access and a current, valid payment method as specified during sign-up. OneGrasp does not store any credit card information or any other sensitive information restricted by the Reserve Bank of India (RBI) for payment processing and has partnered with payment gateways for processing payments. By utilizing a third-party payment provider, you agree to adhere to their terms and conditions. Should OneGrasp’s third-party payment provider store any information, OneGrasp will not be liable for such storage, and it will be at your discretion to permit the third party to retain that information. Any loss of information or any related loss incurred due to the use of such information will be solely your responsibility, and OneGrasp will not be liable for any such losses or responsible for compensating for them in any manner. You also agree to pay the applicable fees for transactions made through the platform.

OneGrasp or its representatives will never request OTP or other authentication-related information. We encourage you to exercise caution when making payments and during financial transactions.

Failure to remit the required program fee may result in the withdrawal of your access to the program. Depending on your transaction location, payment method, and the origin of your payment, your transaction may incur foreign exchange fees or be subject to varying exchange rates. OneGrasp does not support all payment methods, currencies, or locations for payments. All applicable taxes will be calculated based on the billing information you provide at the time of enrollment or purchase.

Cancellation of the program will adhere to the refund policy. Each program has specific refund terms that will apply in the event of cancellation requests.

If you have subscribed to a free trial, the duration of the trial will be as specified during your sign-up. Free trials may not be combined with certain other offers. If you have subscribed to a paid service or product within the last six (6) months, or if your payment method, physical address, contact number, or email address is associated with an account for that paid service, you will not be eligible for a free trial of that service or product. Additionally, if you begin your subscription with a free trial, you may be ineligible for certain features of the product or service during the trial period.

Use of Programs

OneGrasp reserves the right to cancel or reschedule any Program or live lectures/webinars, as well as to modify or rearrange the schedule of topics. This includes adjustments to the point value or weight of assignments, tests, quizzes, exams, projects, and other evaluations of progress. Additionally, you acknowledge that OneGrasp may, at its sole discretion, limit, suspend, or terminate your access to the Platform or Programs, along with any associated services such as access to OneGrasp coaches, support services, evaluation services, or certifications. Furthermore, OneGrasp may modify or discontinue any services related to its Programs at its discretion. You agree that OneGrasp shall not be held liable to you or any third party for any such modifications, suspensions, or discontinuations. Nothing in these terms shall be construed as an obligation for OneGrasp to maintain or support the Platform, Programs, or any associated services.

You acknowledge that OneGrasp shall bear no liability for the non-availability of the Platform or any portion thereof due to circumstances beyond its control, including but not limited to Acts of God, war, disease, revolution, epidemics, riots, civil commotion, strikes, lockouts, floods, fires, satellite failures, public utility failures, man-made disasters, or any other similar events.

Subject to the applicable refund policy, if you no longer wish to participate in any Program, you may terminate your involvement by providing prior notice to OneGrasp. Participants in OneGrasp’s online live lectures and webinars will receive access to these classes via email, and you agree not to share this access with any third party. Should you be unable to attend an online live lecture or webinar, please notify OneGrasp in advance.

You are solely responsible for obtaining and maintaining any necessary equipment or ancillary services required to connect to, access, receive, or utilize the Platform. This includes, but is not limited to, hardware devices, software, and internet or mobile communication services. You are also responsible for ensuring that such equipment and services are compatible with the Platform, as well as for any charges incurred in connection with your use of the Platform and Programs.

Educational Partners and Accreditation

OneGrasp functions as an education service provider rather than a university, offering programs in collaboration with Indian and international universities, educational institutions, governmental authorities, NGOs, and corporations (collectively referred to as “Educational Partners”).

Admission to the degree or diploma programs of an Educational Partner is distinct from acceptance into or participation in any of OneGrasp’s programs. You acknowledge and agree that nothing in these Terms, nor any aspect of your use of the Platform or participation in a program, (a) enrolls or registers you with an Educational Partner or any associated institution, and (b) grants you access to the resources or benefits of any Educational Partner beyond the programs offered by OneGrasp.

OneGrasp may issue credentials or acknowledgments to participants who demonstrate proficiency in the program material. The decision to confer such credentials is solely at the discretion of OneGrasp, which may opt not to provide any acknowledgment for certain programs. Additionally, OneGrasp retains the authority to determine whether to furnish a record of a participant’s performance in a program. The format and nature of any credential or acknowledgment, as well as any performance records provided by OneGrasp, will be established at its sole discretion and may differ among programs.

Participants will receive a certificate of successful completion of a program (“Program Certificate”) only upon meeting the criteria and requirements set forth by OneGrasp and its Educational Partners.

If you are enrolled in a program for academic credit or certification through an Educational Partner, any credit or certification will be awarded solely by that Educational Partner, based on its own policies and procedures. Registration or enrollment with the Educational Partner may be necessary to obtain such credit or certification; OneGrasp bears no authority or responsibility for the awarding of academic credit or certification by an Educational Partner for any program.

You acknowledge and agree that any program associated with an Educational Partner may be subject to the terms, policies, and procedures of that Educational Partner in addition to OneGrasp’s Terms. Specifically, if you are a registered or enrolled student at an Educational Partner and are participating in a program for credit or certification, you understand that: (a) the Educational Partner may have its own terms, policies, or procedures regarding eligibility for program participation, requirements for receiving credit or certification, and the management of your educational records pertaining to your involvement in the program; and (b) your educational records will be maintained by the Educational Partner for the purposes of assigning credit or certification, rather than by OneGrasp.

OneGrasp’s Intellectual Property Rights

The term “Content” encompasses all information and data, which may include, but is not limited to, text, software, scripts, graphics, maps, photos, sounds, music, videos, logos, offers, advertisements, interactive features, and other materials.

The Platform, Programs, and related services are owned and operated by OneGrasp and its licensors. All Content or materials available on the Platform or through the Programs—including, but not limited to, online/live lectures, speeches, video lessons, quizzes, presentation materials, homework assignments, programming tasks, code, and other visual or textual materials (collectively referred to as “OneGrasp Content”)—are the intellectual property of OneGrasp and/or its affiliates or licensors. This content is protected by copyright, patent, and/or other proprietary intellectual property rights under both Indian and international laws. All software utilized on the Platform is the property of OneGrasp and is safeguarded by Indian and international copyright laws.

The OneGrasp logos, trademarks, and service marks that may appear on the Platform and in the Programs (collectively referred to as “OneGrasp Marks”) are owned by OneGrasp and are protected under Indian and international laws. All other trademarks, service marks, and logos that appear on the Platform, Online Courses, or Programs, whether attributed or not, belong to their respective owners. Moreover, elements of the Platform are protected by trade dress and other intellectual property laws, and may not be copied, reproduced, downloaded, or distributed in any form, either in whole or in part, without the express written consent of OneGrasp.

As a condition of accessing the Platforms and/or utilizing the Programs, you agree not to (a) reproduce, duplicate, copy, sell, resell, or exploit any OneGrasp Content or any portion thereof for commercial purposes, except as expressly permitted under these Terms; and (b) use the OneGrasp Marks or the name, trademarks, service marks, or other materials of any Educational Partner in connection with, or to send, any unsolicited communications or emails, or for any other unauthorized purpose.

Please verify all Content prior to use. If you encounter any Content that appears to be incorrect, infringing, offensive, indecent, or objectionable, please notify us immediately at the contact address provided at the bottom of this page.

Additionally, from time to time, OneGrasp (or its third-party service providers, on behalf of OneGrasp) may request users to review OneGrasp Content or participate in beta testing the Platform. The output derived from such activities shall remain the sole and exclusive property of OneGrasp or its third-party service providers, as applicable.

Third-Party Intellectual Property

OneGrasp is committed to respecting the intellectual property rights of third parties and actively supports the protection of all third-party intellectual property, including copyrights and trademarks (“IP”). Our policy mandates a prompt response to clear notices of alleged IP infringement. Upon receiving a valid notification of such infringement, we will take appropriate measures, which may include removing or disabling access to the material in question.

OneGrasp shall not be held liable for any unauthorized use of third-party intellectual property. Users who engage in such unauthorized use or infringe upon any IP available on the Platform shall fully indemnify and hold OneGrasp harmless against any and all claims that may arise from such actions.

If you believe that your product or other work has been misrepresented or used in a manner that constitutes copyright infringement, or if your intellectual property rights have otherwise been violated, please provide us with the following information:

1. An electronic or physical signature of the person authorized to act on behalf of the owner of the product, copyright, or other intellectual property interest.
2. A description of the product, work, or other intellectual property that you claim has been misrepresented or infringed.
3. A description of where the material that you believe is misrepresenting or infringing upon your product, work, or other intellectual property can be found on the Platform/Program.
4. Your address, telephone number, and email address.
5. A statement affirming your good faith belief that the disputed use is unauthorized by the owner of the product, work, copyright, or intellectual property, or its agent, or applicable law.
6. A statement made under penalty of perjury affirming that the information provided in your notice is accurate and that you are the owner of the product, work, copyright, or intellectual property, or are authorized to act on behalf of such owner.

Limited License

The services provided on the Platform are licensed, not sold. In exchange for your acceptance of these Terms, OneGrasp grants you a personal, non-exclusive, non-transferable, and revocable license to access and utilize the Platform and Programs, strictly in accordance with these Terms. You are permitted to download or copy portions of the OneGrasp Content available on the Platform for your personal, non-commercial use, provided that you retain all copyright and other notices contained within such OneGrasp Content. You may not copy, sell, resell, reproduce, publish, modify, transfer, retransmit, distribute, commercially exploit, or create derivative works based on the Platforms, Programs, or any OneGrasp Content.

However, certain reference documents, digital textbooks, and articles may be made accessible to you with the permission of third parties, and your use of that information will be subject to specific rules and conditions, which you agree to follow.

You are prohibited from reverse-engineering, decompiling, disassembling, or otherwise accessing the source code of any software utilized to operate the Platform or the Programs. Occasionally, OneGrasp may include software, code, instructions, or other information in the OneGrasp Content related to the Programs; any such information is provided on an “as-is” basis for instructional purposes only and is subject to the “Disclaimer” and “Limitation of Liability” sections below, as well as other terms herein. Use of such information for commercial purposes is strictly prohibited. OneGrasp and/or its affiliates and licensors reserve all rights not expressly granted herein to the Platforms, OneGrasp Content, and OneGrasp Marks.

To clarify, the following uses are expressly defined by OneGrasp as outside the scope of “non-commercial and personal use”:

1. The sale or rental of (i) any part of the OneGrasp Content, (ii) any derivative works based at least in part on the OneGrasp Content, or (iii) any collective work that incorporates any part of the OneGrasp Content.
2. The sale of access or a link to any part of the OneGrasp Content.
3. Providing training, support, or editorial services that utilize or reference the OneGrasp Content in exchange for a fee.
4. The use of OneGrasp Content by a college, university, school, or other educational institution for instruction where tuition is charged.
5. The use of OneGrasp Content by a for-profit corporation or non-profit entity for internal professional development or training.
6. The display, upload, or availability of OneGrasp Content in any manner accessible to the general public, including but not limited to social media sites, video download sites, and torrents.

User Conduct Policy

Upon accessing the Platform or enrolling in a Program, you are classified as a “user” for the purposes of these Terms. You are responsible for all activities associated with your use of the Platform and Programs. By utilizing these services, you agree to adhere to all applicable local, provincial, state, national, and international laws, treaties, and regulations. It is imperative that you refrain from engaging in any unethical practices while using the Platform.

Specifically, you agree not to post, transmit, or facilitate any communication or solicitation that constitutes “phishing,” “pharming,” or “whaling,” aimed at obtaining passwords, account details, personal information, financial data, or any confidential information from users or third parties. In the event that such incidents occur, OneGrasp shall not be liable for any data loss or compromise of users’ devices, computer systems, or other property.

You acknowledge that OneGrasp reserves the right to report any suspicious or illegal activities to the appropriate legal or law enforcement authorities without prior notification.

While using the Platform and Programs, you will:

• Refrain from harassing other users, students, attendees, support agents, or visitors.
• Avoid creating an atmosphere of disharmony or hostility within student groups.
• Not cheat on homework assignments or examinations for the Program.
• Refrain from posting any secured testing materials online.
• Not share solutions to homework assignments or exams.
• Immediately notify instructors if you become aware of any user cheating or violating these Terms, and comply with the specific code of conduct applicable to your Program.

OneGrasp acts as an intermediary concerning User Content (as defined under ‘User Content’) and any other information you upload, publish, transmit, or update, in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021 and the laws relevant to OneGrasp’s status as an intermediary. Consequently, you must not host, display, upload, modify, publish, transmit, store, update, or share any information that:

• Belongs to another individual without the requisite rights.
• Is defamatory, libelous, fraudulent, threatening, obscene, indecent, profane, pornographic, pedophilic, invasive of another’s privacy, discriminatory, harmful, insulting, or harassing based on gender, race, or ethnicity; encourages money laundering or gambling; or contravenes any applicable laws.
• Is harmful to minors.
• Infringes upon any patent, trademark, copyright, or other proprietary rights.
• Violates any laws currently in force.
• Misleads the recipient regarding the origin of a message or knowingly communicates information that is patently false or misleading.
• Impersonates another individual.
• Threatens the unity, integrity, defense, security, or sovereignty of India, jeopardizes friendly relations with foreign states, or disrupts public order.
• Contains software viruses or other harmful components designed to interrupt or damage any computer resources.
• Is written or published with the intent to mislead or harass for financial gain or cause harm.
• Discusses illegal activities with the intent to engage in them.
• Is not yours to disclose.
• Constitutes advertising or commercial solicitation.
• Relates to partisan political activities.
• Contains intentionally inaccurate information aimed at misleading others.
• Includes harmful components such as viruses, Trojan horses, worms, or other disabling devices.
• Utilizes high-volume, automated, or electronic means to access the Platform (including, but not limited to, robots, spiders, or scripts).
• Violates the rights of other users of the Platform.
• Contradicts any applicable local, state, national, or international laws or promotes illegal activities.

User Content

The Platform may enable you to upload forum posts, engage in chat with other users and OneGrasp’s counselors, participate in discussions, create profile pages, and share various content and media for social interaction, as well as specific information and materials intended for use with the Programs, such as questions, hypotheticals, examples, assignments, industry projects, etc. (collectively referred to as “User Content”). OneGrasp does not assert ownership over any User Content that you submit or make available for inclusion on the Platform or in the Programs. Therefore, subject to the license granted to OneGrasp, you will retain sole and exclusive ownership of all rights, title, and interest in your User Content.

By submitting any User Content via the Platform or Programs, or providing it in any other manner to OneGrasp, you grant OneGrasp an irrevocable, worldwide, perpetual, royalty-free, and non-exclusive license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display such User Content on the Platforms or within the Programs, or to otherwise exploit the User Content. This license includes the right to sublicense these rights to third parties for any purpose, including commercial purposes. OneGrasp reserves the right to remove any User Content at any time and for any reason.

When providing User Content, you represent and warrant that (a) you possess all necessary rights, licenses, and clearances to submit such User Content and to permit OneGrasp to utilize it as outlined above; (b) the User Content is accurate and reasonably complete; (c) you will be responsible for any third-party fees associated with the provision and use of such User Content; and (d) the User Content will not infringe upon or misappropriate any third-party rights, nor will it constitute a fraudulent statement, misrepresentation, or unfair business practice.

OneGrasp does not oversee the User Content posted through the Platform, including messages, reviews, or comments, and does not guarantee the accuracy, integrity, or quality of such User Content. Under no circumstances shall OneGrasp be liable for any User Content, including any errors or omissions, or for any loss, damage, or defamation incurred as a result of your posting or use of User Content. You are responsible for complying with all applicable laws regarding the User Content.

Platform Security Policy

Users are strictly prohibited from violating or attempting to breach the security of the Platform or any associated platforms under OneGrasp. This prohibition includes, but is not limited to, the following actions:

(a) Accessing data not intended for the user or logging into a server or account for which the user is not authorized;

(b) Probing, scanning, or testing the vulnerability of a system or network, or attempting to bypass security or authentication measures without proper authorization;

(c) Interfering with service to any user, host, or network, which may include submitting viruses, overloading the system, “flooding,” “spamming,” “mailbombing,” or “crashing”;

(d) Sending unsolicited emails, including promotional content or advertisements for products or services;

(e) Forging any TCP/IP packet header or any part of header information in emails or newsgroup postings.

Violations of system or network security may lead to civil or criminal liability. OneGrasp will investigate incidents that may involve such violations and may collaborate with law enforcement authorities to prosecute users involved.

Users agree not to employ any device, software, or routine that interferes or attempts to interfere with the proper functioning of the Platform or any activities conducted therein. Furthermore, users agree not to use or attempt to use any engine, software, tool, agent, or other mechanisms (including, but not limited to, browsers, spiders, robots, avatars, or intelligent agents) to navigate or search the Platform, except for the search engine and search agents provided by OneGrasp and commonly available third-party web browsers (e.g., Google Chrome or Microsoft Edge).

While OneGrasp is committed to ensuring the security of its users and has implemented measures to protect user accounts and related information, we cannot guarantee that unauthorized third parties will not succeed in breaching our security measures.

Disclaimer

The Platform and/or Programs may contain typographical errors or inaccuracies and may not be complete or up to date. OneGrasp reserves the right to correct any errors, inaccuracies, or omissions (including after an order has been submitted) and to modify or update information at any time without prior notice.

The Platform, Programs, and any information or content provided by OneGrasp are offered on an “as is” and “as available” basis, along with all faults. OneGrasp makes no representations or warranties of any kind, whether expressed or implied, regarding the OneGrasp Content or services available on or through this Platform and Programs. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. OneGrasp does not guarantee that the services will meet the user’s requirements or that they will be uninterrupted, timely, secure, or error-free. Additionally, OneGrasp does not warrant the results that may be obtained from using the services, the accuracy or reliability of any information acquired through the services, or that any software defects will be corrected.

The user acknowledges and agrees that any content and information, data, or material downloaded or otherwise obtained through the Platform or Programs is done at the user’s own discretion and risk. Consequently, the user will be solely responsible for any damage to their computer system, electronic devices, or loss of data resulting from such downloads.

Information regarding the availability of EMI options or loans for payment of program fees may be found on the Platform for certain programs. Please note that this information is for reference purposes only. The loan facilities are provided by third-party credit providers, and OneGrasp is not privy to any arrangements you enter into with these providers. You will be bound by the terms and conditions of your agreement with such third-party credit providers, and OneGrasp will not be liable for any such arrangements.

Under no circumstances will OneGrasp be liable for any use of OneGrasp Content or any other information, data, or material downloaded or obtained through the Platform or Programs. This includes any errors or omissions, or any loss, damage, or defamation incurred as a result of reliance on such information or data. No advice or information, whether oral or written, obtained from OneGrasp or through the services shall create any warranty.

If you encounter any incorrect or inappropriate information on the Platform or Programs, or if you are the owner of any information or content and wish for it not to be displayed, please notify us at the address provided at the bottom of the page.

Testimonials, reviews, and success stories, including those relating to salary increases or promotions, represent individual experiences of those who have utilized our products and/or services. However, these outcomes are individual results and may vary. We do not claim that they are typical results that consumers can generally expect. The testimonials are not necessarily representative of all users of our products and/or services, and OneGrasp cannot guarantee similar results.

OneGrasp makes no representations regarding the recognition or equivalence of the credits or credentials awarded, except as specified in the offer letter issued to you. We strongly recommend that you inquire further about the appropriateness of any program available on the platform for your academic and professional goals before enrolling.

Admission to the Master’s courses offered through certain dual programs is contingent upon your fulfillment of the terms and conditions outlined in the offer letter issued to you. OneGrasp does not guarantee admission to the Master’s courses associated with any program on the platform or any other degree program.

If you plan to pursue a doctorate upon completing a program or seek employment that requires specific credits or credentials, we advise you to investigate the suitability of the particular program for your academic and/or professional needs prior to enrollment.

Limitation of Liability

Neither OneGrasp nor any of its Educational Partners, affiliates, employees, directors, officers, agents, vendors, or suppliers shall be liable to you or any other individual, whether under tort, contract, strict liability, or any other legal theory, for any indirect, special, incidental, or consequential losses or damages arising from or related to the use or inability to use this Platform or Programs. This includes, but is not limited to, damages for lost profits, loss of goodwill, data loss, work stoppage, inaccuracies in search results, or failures, malfunctions, or viruses affecting computer or electronic devices. In no event shall OneGrasp’s liability exceed ₹1,000 or, for enrolled students, the fees paid in connection with your enrollment in a Program.

The Platform may include links to pages on external websites (“Linked Sites”), which may feature content or offer products and/or services for sale. OneGrasp does not author, edit, control, or monitor these Linked Sites. You acknowledge and agree that: (a) we bear no responsibility for the accuracy or availability of information provided by Linked Sites; (b) we do not endorse or control the sponsors of these Linked Sites, nor the content, products, advertising, or other materials presented therein; and (c) you agree to abide by the terms and conditions set forth by the Linked Sites. We reserve the right to remove any Linked Sites from the Platform at our discretion, with or without cause.

OneGrasp WILL NOT BE LIABLE FOR ANY TRANSACTIONS YOU ENGAGE IN WITH THIRD PARTIES THROUGH THE LINKED SITES OR FOR ANY LIABILITY ARISING FROM THE REPRESENTATIONS OR INFORMATION PROVIDED ON SUCH LINKED SITES.

Indemnity

You agree to indemnify and hold OneGrasp and its Educational Partners harmless from any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising from or related to (a) your use or attempted use of the Platforms or Programs in violation of the Terms; (b) your violation of any applicable laws or the rights of third parties; or (c) any information or content that you or others post or otherwise make available on the Platform or through any Program, including, but not limited to, claims of infringement or misappropriation of intellectual property or other proprietary rights.

Termination of Rights

You acknowledge that OneGrasp reserves the right, at its sole discretion, to deactivate your account or terminate your access to the Platform or enrollment in a Program, with or without cause. This may occur if OneGrasp believes that you have (a) violated the Terms; (b) infringed upon the intellectual property rights of a third party; (c) posted, uploaded, or transmitted unauthorized content on the Platform; or (d) acted in a manner inconsistent with the letter or spirit of these Terms or any relevant code of conduct.

You agree that any deactivation or termination of your access to the Platforms or Programs may occur without prior notice, and OneGrasp shall not be held liable to you or any third party for such termination. Furthermore, you acknowledge that OneGrasp may retain and store your information on its systems despite the termination of your account or enrollment in the Programs.

Miscellaneous Provisions

By utilizing the Platform, you affirm that you are at least 18 years of age. If you are under 18 or below the legal age to enter into a binding contract within your jurisdiction, you may only access the Platform under the supervision of a parent or legal guardian who agrees to these Terms. Parents or guardians assume full responsibility for their child’s use of the Platform, including any financial or legal obligations incurred. By accessing the Platform, you represent that you possess the authority to accept these Terms and agree to adhere to them. The Programs are not intended for individuals under 18 years of age.

OneGrasp reserves the right to assign or transfer its rights or delegate its obligations under these Terms or any specific Program terms at its sole discretion. You may not transfer your rights or obligations without prior written consent from OneGrasp.

These Terms, along with any Program-specific terms, shall be governed by the laws of India and subject to the jurisdiction of the courts in Mumbai. In the event of a dispute, the parties shall first attempt to resolve the matter through good faith negotiations. If unresolved, the issue will be referred to arbitration under the Arbitration and Conciliation Act, 1956, before a sole arbitrator appointed by OneGrasp. The proceedings will be conducted in English, with Mumbai as the seat of arbitration.

If any portion of these Terms is deemed unlawful or unenforceable, it will be considered severable and will not affect the validity of the remaining provisions. OneGrasp shall not be liable for any failure to perform due to events beyond its reasonable control, including, but not limited to, natural disasters, wars, civil unrest, cyber-attacks, or legal restrictions.

The failure to enforce any right or provision shall not constitute a waiver. If any provision is found to be invalid, the underlying intention shall still be honored to the extent legally permissible, and the remainder of the Terms shall remain in full effect.

These Terms and any specific Program terms represent the entire agreement between you and OneGrasp. Any amendments must be made in writing and either posted on the Platform or mutually agreed upon by the parties.

If you have unresolved concerns, you may contact our Grievance Officer, who will endeavor to address your issue within 30 working days of escalation. Please ensure that you escalate your concern only after your initial complaint has not been satisfactorily resolved within that timeframe.
